Terms of Service

GPA Lord ("we", "the Service") is an online marketplace operated by [YOUR LLC NAME], a [Pennsylvania/New York] limited liability company, where students sell study materials they created. By using the Service you agree to these Terms.

1. Eligibility

You must be 18 or older. One account per person. We may limit sign-ups to particular email domains.

2. What may be listed

Only material you authored yourself: notes, study guides, flashcards, and practice questions or practice tests you wrote. You may not list, in whole or in part, any quiz, exam, test, answer key, homework solution, slide deck, or other material authored by an instructor or the university, whether or not it has been previously administered, unless the instructor has publicly released it and you say so in the listing. Uploading such material is a violation of these Terms and may also violate your university's academic integrity policy and copyright law.

3. Ownership attestation

Every upload requires an attestation that you created the material and that it is not an instructor-authored assessment. We record the attestation text and time. A false attestation is grounds for removal, forfeiture of pending payouts on the affected listing, a strike, and suspension.

4. Removal, strikes, and suspension

Anyone who owns material listed on the Service may request its removal through the removal form. Reports are confirmed by email and reviewed by an administrator, normally within two business days; upheld reports result in removal. Each upheld report is one strike; 3 strikes result in permanent suspension. We may remove any listing or suspend any account at our discretion. We may share uploader information with rights-holders or the university where required by law or lawful process.

5. License

You retain copyright in what you upload. You grant us a non-exclusive license to host, display previews of, and deliver your material to buyers. You grant each buyer a personal, non-transferable license to use the material for their own study. Buyers may not redistribute purchased material.

6. Payments and fees

Payments are processed by Stripe. Sellers must complete Stripe onboarding to receive payouts. The Service retains a platform fee of 30% of each sale; the remainder is transferred to the seller by Stripe. Sellers are responsible for their own taxes. Applicable sales tax may be added at checkout.

7. Refunds

Purchases are digital downloads and are final once downloaded, except where a listing is removed for violating these Terms within 14 days of purchase, in which case the buyer is refunded and the refund is deducted from the seller's payout.

8. Not affiliated with any university

GPA Lord is an independent student-run project. It is not affiliated with, endorsed by, or sponsored by The Pennsylvania State University. Course names and numbers are used for identification only.

9. Disclaimers and limitation of liability

The Service is provided "as is". We do not review every listing and make no warranty about accuracy or fitness of any material. To the fullest extent permitted by law, our aggregate liability to you is limited to the fees you paid us in the preceding three months.

10. Changes; governing law

We may update these Terms; continued use after changes is acceptance. These Terms are governed by the laws of the Commonwealth of Pennsylvania. Contact: [your email].
